These Terms of Service govern the purchase and use of services provided by X3 Agency, a registered DBA of RGC Marketing Group LLC.
By approving a proposal, signing a service agreement, submitting a payment or authorizing the beginning of a project, the client confirms that they have read and accepted these terms together with the applicable proposal and service agreement.
When there is a conflict between these Terms of Service and a signed service agreement, the signed service agreement will control.
X3 Agency provides marketplace setup, product listing optimization, continuous marketplace management, marketplace advertising management, paid media, SEO, website development, social media, video editing and related digital services.
The exact activities, prices, deadlines and responsibilities for each project are defined in the proposal or service agreement approved by the client.
Services that are not expressly included in the approved proposal are considered outside the contracted scope and may require a separate quotation.
Marketplace Setup Services and Product Listing Optimization are normally contracted as one-time projects.
A one-time project begins after the required agreement, initial payment, information, materials and account access have been received.
The service is considered delivered when the activities described in the approved scope have been completed or made available for client review.
Additional products, accounts, platforms, integrations, revisions or activities outside the original scope may generate additional charges.
Marketplace Management Services and Marketplace Ads Management Services require a minimum agreement of six months unless a different period is expressly stated in the signed proposal.
The minimum term exists because these services involve a substantial initial operational workload and require time for the account, products, campaigns and marketplace data to develop.
During the first month, X3 Agency may perform account reviews, access organization, operational diagnosis, product analysis, campaign restructuring, tracking verification, catalog review, pricing evaluation, competitive analysis, reporting configuration and the creation of an initial action plan.
A significant portion of the strategic and operational preparation therefore occurs at the beginning of the project.
Marketplace operations and advertising campaigns require time to generate data, build account history, evaluate products, identify competitive conditions and implement recurring improvements.
The six-month minimum agreement allows the operation to move through an initial preparation period, a data collection period and a recurring optimization period.
The client understands that platform maturity does not occur immediately and that performance can be affected by product demand, pricing, margins, inventory, competition, seasonality, account history, reviews, content, logistics, advertising budget and other factors outside the direct control of X3 Agency.
All prices are presented in United States dollars unless otherwise stated.
Payments may be processed through Stripe, invoice, bank transfer or another payment method approved by X3 Agency.
One-time services follow the payment schedule presented in the approved proposal. Monthly services are billed in advance for each service period.
The first monthly payment authorizes X3 Agency to begin onboarding, account analysis, planning and operational preparation. It is not treated solely as a reservation fee or refundable deposit.
Failure to make a payment may result in the suspension of services, campaigns, reports, meetings and account activities until the outstanding balance is resolved.
The client is responsible for providing accurate company information, valid documents, product information, prices, costs, taxes, inventory data, images, videos, account access and approvals required to perform the service.
The client remains responsible for customer service, customer messages, complaints, physical inventory, order preparation, packaging, invoicing, tax documentation, shipping, fulfillment, returns and other operational activities not expressly included in the proposal.
Delays in providing information, materials, access or approvals may extend the project timeline.
X3 Agency does not own or control marketplaces, advertising platforms, payment processors, ecommerce platforms, ERPs, connectors or other third-party systems.
Approvals, suspensions, restrictions, policy changes, account reviews, technical failures and processing times are controlled by the respective third-party provider.
X3 Agency cannot guarantee account approval, product approval, uninterrupted platform availability or the continuation of specific features.
X3 Agency does not guarantee a specific number of sales, leads, orders, views, clicks, revenue, profit, return on advertising investment or marketplace ranking.
The contracted fees compensate X3 Agency for the strategy, management, configuration, analysis, execution and professional time described in the approved scope.
Payments are not conditioned on the achievement of a specific commercial result unless expressly established in a signed agreement.
One-time projects and recurring services are subject to the Refund and Cancellation Policy and the conditions contained in the signed service agreement.
Services with a six-month minimum term cannot be treated as month-to-month services during the initial agreement period.
Any request for early termination must be submitted in writing. Financial obligations resulting from early termination will follow the signed agreement, the work already performed and applicable law.
After the minimum term has been completed, recurring services may be cancelled according to the notice period stated in the service agreement.
Final materials created exclusively for the client are transferred according to the conditions stated in the proposal and after all related payments have been completed.
X3 Agency retains ownership of internal methods, templates, processes, systems, strategies, prompts, research models and operational frameworks used to perform the services.
